Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Mixtape mobile application, usemxtape.com, and related services (collectively, the “Service”) operated by New Creation Labs LLC (“Company,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. If you are under 18, you represent that you have permission from a parent or legal guardian. The Service is intended for personal, non-commercial use unless we agree otherwise in writing.

2. Your account

• You are responsible for activity on your account and for maintaining the security of your device and sign-in credentials.
• You must provide accurate information and choose a username that does not impersonate others or violate these Terms.
• We may suspend or terminate accounts that violate these Terms or pose risk to the Service or other users.

3. Acceptable use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose
• Harass, threaten, abuse, or harm other users
• Send spam, unsolicited messages, or automated bulk content
• Upload or share content that infringes intellectual property or privacy rights of others
• Attempt to reverse engineer, scrape, or disrupt the Service or its infrastructure
• Circumvent security, access controls, or usage limits
• Use the Service to distribute malware or malicious code
• Misrepresent your identity or affiliation with any person or entity

We may investigate violations and cooperate with law enforcement where appropriate.

4. User content

“User content” includes mixtapes you send, notes, reactions, usernames, and other material you submit through the Service.

• You retain ownership of your User content.
• You grant us a non-exclusive, worldwide, royalty-free license to host, store, display, and transmit your User content solely to operate and improve the Service.
• You represent that you have the rights necessary to share User content and that it does not violate these Terms or applicable law.
• We may remove User content that violates these Terms or that we reasonably believe creates liability or harm.

5. Music and third-party content

Mixtape helps you share song references and metadata (such as title, artist, and album art). We do not provide music streaming or downloads through the Service unless explicitly stated. Song metadata may be provided by third parties, including Spotify. Your use of third-party services is subject to their terms and policies.

Album art, trademarks, and other materials displayed in the Service may belong to third parties. We do not claim ownership of third-party intellectual property.

6. Intellectual property

The Service, including its design, branding, software, and content we create (excluding User content), is owned by the Company or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service except as permitted by these Terms or applicable law.

“Mixtape,” the Mixtape logo, and related marks are trademarks of New Creation Labs LLC. You may not use our marks without prior written permission.

7. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components. We are not responsible for the conduct of users or third-party services.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEW CREATION LABS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless New Creation Labs LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your User content, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, provisions that by their nature should survive will survive, including intellectual property, disclaimers, limitation of liability, and indemnification.

12. Changes to the Service and Terms

We may modify or discontinue the Service at any time. We may update these Terms from time to time. We will post updated Terms on usemxtape.com and update the “Last updated” date. Material changes may be communicated through the app or other reasonable means. Continued use after changes become effective constitutes acceptance of the updated Terms.

13. Dispute resolution

Before filing a claim, you agree to contact us at hello@usemxtape.com and attempt to resolve the dispute informally within 30 days.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles, except where prohibited by applicable law. You agree that exclusive jurisdiction for disputes arising from these Terms or the Service will be in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

14. General

• Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and the Company regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• No waiver: Failure to enforce any provision is not a waiver of our rights.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
